Closely Held and Small Businesses

Please note that ethical rules governing attorneys in Washington State require that the fees we charge be reasonable for a particular client's matter.  While the fees stated below will fit most situations, we will provide the exact estimate of our fees after our consultation. 

 

We charge a $200 consultation fee which is waived in the event we are hired to provide legal services to you.

Simple Formation (one individual owner) for an LLC or Corporation: 

  • Consulting about corporate and tax issues;

  • Drafting the governance documents (operating agreements, bylaws, consents, etc.);

  • Forming the entity with the Secretary of State;

  • Applying for an EIN on behalf of the business;

  • Applying for the entity’s business licenses;

  • Organizing and keeping the corporate minute book;

  • Serving as the entity’s registered agent for the first year of operation (after the first year, the registered fee is an annual fee of $100); and

  • Providing you a guide on maintaining your business entity.

 

 

 

 

 

 

Flat fee of $400 + costs*

*State filing fees and business license fees

 

 

Other Formation (more than one individual owner) for an LLC or Corporation:

  • Drafting Contracts (based on past work for a standard contract, we usually estimate our fees to be $200)

  • Reviewing Contracts (based on past work for a standard contract, we usually estimate our fees to be $300 to $400)

  • Lease Review (based on past work for a standard lease, we usually estimate our fees to be $300 to $400)

  • Buying and Selling a Business

  • Mergers and Acquisitions

  • Business Succession Planning

  • Other matters (we can provide a quote for all any type of matter)

A La Carte (Per Person)

 

  • Simple Will and Last Testament: Flat fee of $200

  • General Power of Attorney: Flat fee of $200

  • Healthcare Directive: Flat fee of $100

  • Community Property Agreement: Flat fee of $100

  • Small Estate Affidavit (estates that do not have to be probated): Flat fee of $200

  • Codicil: Flat fee depends on complexity but starts at $50

  • Testamentary Trust (we have previously estimated our fee to be $300 for a simple testamentary trust but this depends on complexity)

  • Tax Planning Trusts such as Credit Shelter Trusts or an "A/B Trust" ) (we have previously estimated our fee to be $500 for this type of work)

  • Revocable Living Trusts (we have previously estimated our fee to be $300 for this type of work)

  • Charitable Remainder or Lead Trusts

  • Private Foundations or Donor Advised Funds

Organizations that expect to have less than $50,000 in gross receipts:  Flat fee of $300 (paid in installments) + costs (IRS filing fee and postage)

 

Organizations that expect to have $50,000 or more in gross receipts:  Flat fee of $1,000 (paid in installments) + costs (IRS filing fee and postage)

 

 

 

Application for any other tax-exempt status other than 501(c)(3) (for example, 501(c)(4), (c)(5), etc.)
